DSG Technology AS 9100 Rev D Certified (14. MARCH – 2021)

DSG Technology Protects Its Intellectual Property Rights

It has now been established that the manufacturing company Tungsten Heavy Powder, Inc. (THP) of San Diego, California, a previous subcontractor to DSG, has manufactured and sold products infringing on DSG’s intellectual property. THP also failed to deliver any products conforming to DSG’s specifications in the six months that the company was a DSG subcontractor. THP’s Z-Cav product was based on DSG’s intellectual property, and they will now cease production and sale of
this product.

It has now been established that the manufacturing company Tungsten Heavy Powder, Inc. (THP) of San Diego, California, a previous subcontractor to DSG, has manufactured and sold products infringing on DSG’s intellectual property. THP also failed to deliver any products conforming to DSG’s specifications in the six months that the company was a DSG subcontractor. THP’s Z-Cav product was based on DSG’s intellectual property, and they will now cease production and sale of this product.

The following facts are now clarified, and THP will adhere accordingly:

• THP failed to deliver any conforming products in the six months that it was delivering products  under the MSA

• DSG owes nothing to THP for the products THP manufactured because none of them conformed  to specification.

• DSG validly and unilaterally terminated the MSA by notice dated October 25, 2019 on the basis  of THP’s failure to produce products conforming to DSG’s specifications.

• THP must now return or destroy all products it manufactured for DSG and all documents  containing DSG’s intellectual property.

• DSG has not licensed its intellectual property to THP, and THP has no right to DSG’s intellectual  property, or any products or documents derived from it. Any representation by THP that it has  any rights in relation to DSG’s intellectual property would be false.

• THP was not permitted under the MSA to sell products manufactured using DSG’s intellectual  property to a company called Maxim or any other third party.

• THP’s Z-Cav product was based on DSG’s intellectual property, and THP’s development of the  Z-Cav product breached the MSA. 

DSG is satisfied that these issues have been solved and looks forward to dedicating all energy and  resources to product development, manufacturing and sales of the world’s only full caliber supercavitating ammunition for use in standard weapons.

 

THP v. DSG Fact Sheet

  • The products manufactured by THP did not conform to DSG’s specifications, in breach of THP’s obligations under the MSA.
    • More specifically, THP failed to deliver any conforming products in the six months that it delivered products under the MSA.
    • DSG tested the products delivered by THP and established beyond doubt that none of the products confirmed. THP purported to issue self-generated certificates of conformity but these certificates were inaccurate and did not demonstrate conformity.
  • DSG owes nothing to THP for the products THP manufactured.
    • While THP sought to invoice DSG for nonconforming products, for products not produced under the MSA, and for services that were not products, DSG never had any liability to pay those invoices under the MSA or otherwise.
  • DSG validly and unilaterally terminated the MSA by notice dated October 25, 2019 on the basis of THP’s failure to produce products conforming to DSG’s specifications.
    • Only the provisions that expressly survive termination, such as provisions protecting DSG’s intellectual property and confidential information, remain effective.
    • DSG is no longer bound by any obligation to treat THP as its exclusive manufacturer and supplier of products.
  • THP must return or destroy all products it manufactured for DSG and all documents containing DSG’s intellectual property.
    • THP has no right to DSG’s intellectual property, or any products or documents derived from it.
    • DSG has not licensed its intellectual property to THP or otherwise authorized THP to use it in any way.
    • Any representation by THP that it has any legal rights in relation to DSG’s intellectual property would be false.
  • THP was not permitted under the MSA to sell products manufactured using DSG’s intellectual property to Maxim or any other third parties. THP’s sale of such products to Maxim breached the MSA.
  • THP’s Z-Cav product was based on DSG’s intellectual property, and THP’s development of the Z-Cav product breached the MSA.
  • DSG is allowed to develop the .300 AAC BLK product with LSA.
    • The .300 AAC BLK product was never subject to the MSA, which has been terminated in any event.
